Job DescriptionDirector of Legal ServicesAbout AymiumAymium is the world's largest producer of renewable biocarbon, converting sustainably sourced biomass into high-performance carbon products for steel manufacturing, water treatment, agriculture, and industrial applications. The company is scaling rapidly through new facility development and partnerships worldwide, playing a significant role in global decarbonization.Position SummaryAymium is seeking a commercially minded attorney with who will draft and negotiate agreements, build efficient legal processes, and exercise sound judgment in a fast-moving environment. The Director of Legal Services (DLS) will report to the CEO and will advise the Executive Team on legal, regulatory, and risk matters.Key ResponsibilitiesCorporate & GovernanceAdvise the CEO and Executive Team on corporate governance, entity structuring, and strategic transactionsSupport capital raises, potential Initial Public Offering (IPO), M&A activity, joint ventures, and board-level legal mattersForm and maintain LLCs and other project-level entities, including operating agreements and governance documentsCommercial ContractsDevelop commodity offtake agreements, feedstock supply contracts, tolling arrangements, and long-term sales agreementsHandle routine commercial agreements - NDAs, LOIs, and vendor contracts Structure and develop international commercial agreements, navigating cross-border legal and jurisdictional considerationsProject Development & ConstructionProvide legal support for greenfield and brownfield facility developmentManage EPC contracts, equipment supply agreements, and owner's engineer arrangementsAdvise on permitting, land acquisition, easements, and real property mattersSupport project finance structures including tax equity and federal incentive programs Regulatory, Environmental & ComplianceOversee compliance with federal, state, and local environmental regulationsMonitor the evolving regulatory landscape for biocarbon and industrial emissionsMaintain the company's ethics and compliance programQualificationsRequiredJ.D. from an accredited law school; active U.S. bar membership5-10+ years of experience at a well-regarded law firmDemonstrated hands-on contracting experience - commodity offtake, commercial agreements, LLCs, and NDAsExperience with international commercial agreementsBackground in project development, construction contracts, or infrastructure transactionsProven ability to operate independently PreferredIn-house experience preferredExperience in energy, industrials, cleantech, commodities, or manufacturingFamiliarity with carbon markets, environmental attributes, or sustainability-linked financeIntellectual property experience in a manufacturing or technology contextExperience with EPC contracts and project finance structuresPrior exposure to IRA tax credits, DOE loan programs, or federal grant frameworksCompensation & BenefitsAymium offers director-level compensation including base salary, performance bonus, and equity participation, along with a competitive benefits package.LocationSalt Lake City, Utah (Cottonwood Heights)National Carbon Technologies.
