Job DescriptionPrivate Equity Resource Attorney Locations: Boston, Colorado, DC, Santa Monica, New York & Reston

Direct Counsel is seeking a licensed attorney with 7+ years of experience in U.S. private equity corporate and transactional practice to serve as a Resource Attorney supporting a sophisticated Private Equity practice. This is a non-billable, internal-facing role focused on enhancing attorney efficiency, knowledge management, legal education, practice innovation, and business development.

The Resource Attorney will work closely with attorneys and internal teams to develop and maintain practice resources, monitor legal developments, support training initiatives, and improve processes across the Private Equity group.

Responsibilities

  • Support experience management and maintain M&A and private equity matter data

  • Prepare, revise, organize, and manage template documents, forms, precedents, and other practice resources

  • Monitor legal and regulatory developments affecting private equity and relevant industry sectors, including software and SaaS, fintech, telecom, and education

  • Prepare legal updates, summaries, and alerts and incorporate new requirements into practice resources

  • Develop and maintain the Private Equity group's internal practice page

  • Coordinate with legal education teams on associate and firmwide training programs

  • Support marketing and business development initiatives, including pitches, presentations, articles, publications, and industry-specific materials

  • Collaborate with quantitative analysts, other Resource Attorneys, and innovation teams on practice initiatives

  • Assist attorneys with day-to-day requests for precedents, templates, and other resources

  • Participate in knowledge management, practice innovation, AI, and technology-enabled workflow projects

Requirements

  • Licensed attorney with 7+ years of experience in a U.S. private equity corporate/transactional practice

  • Strong knowledge of private equity transactions, including M&A

  • Familiarity with portfolio company management and related regulatory matters

  • Familiarity with partnership-based equity compensation and related tax issues, including profits interests

  • Familiarity with M&A acquisition financing, including mid-market LBOs

  • General knowledge of corporate, alternative entity, and other financial transactions

  • Excellent drafting, written and verbal communication skills

  • Strong organizational and time-management skills with exceptional attention to detail

  • Comfortable presenting and working collaboratively across teams

Compensation & Benefits

The expected annual salary range is $220,000–$315,000, with the final offer based on geographic location, experience, and skillset.
