Direct Counsel is seeking an Executive Compensation & Benefits Associate Attorney with 5+ years of experience to join a leading global law firm and its highly regarded Compensation & Benefits practice.

Position Overview

The ideal candidate will have substantial experience advising on executive compensation and employee benefits matters, with a particular emphasis on representing private equity sponsors in acquisitions and divestitures. This role will also involve advising private equity portfolio companies on a range of day-to-day compensation and benefits matters.

Responsibilities

  • Advise private equity sponsors on executive compensation and employee benefits matters arising in acquisitions and divestitures.
  • Advise private equity portfolio companies on ongoing compensation and benefits matters.
  • Counsel clients regarding profits interests and other LLC incentive awards.
  • Advise on management holding company structures and related compensation arrangements.
  • Handle rollover equity matters in connection with private equity transactions.
  • Draft and negotiate employment, severance, and other executive compensation agreements.
  • Advise on executive compensation matters arising in mergers and acquisitions involving privately held companies.
  • Analyze and advise clients regarding Internal Revenue Code Sections 280G and 409A.
  • Collaborate with corporate, tax, and other transactional attorneys on sophisticated private equity matters.
  • Conduct legal research and provide practical, business-oriented advice to clients.
  • Draft, review, and negotiate compensation and benefits-related agreements and documents.

Qualifications

  • 5+ years of executive compensation and employee benefits experience.
  • Substantial experience representing private equity sponsors in acquisitions and divestitures.
  • Experience advising private equity portfolio companies on day-to-day matters.
  • Experience with:
    • Profits interests and other LLC incentive awards
    • Management holding company vehicles
    • Rollover equity
    • Employment and severance arrangements
    • Mergers and acquisitions involving privately held companies
    • Internal Revenue Code Sections 280G and 409A
  • Excellent academic credentials.
  • Superior legal research, writing, analytical, and oral communication skills.
  • Strong attention to detail and ability to manage sophisticated matters effectively.
  • J.D. from an accredited law school.
  • Admission to practice in the applicable jurisdiction, or eligibility for admission, required.

Compensation

The anticipated salary for this position is $365,000+ annually, with the final compensation determined based on geographic location, applicable experience, skill set, and other relevant factors.
