<ul>
<li>Serve as corporate secretary and lead governance for&nbsp;Nium&nbsp;Pte.&nbsp;Ltd. and its global subsidiaries, including board and committee meetings, regulatory filings, resolutions, and consents.&nbsp;</li>
<li>Partner with&nbsp;Nium&nbsp;leadership, the Board of Directors, and the corporate secretary team to ensure compliance with all legal, regulatory, and corporate governance best practices.&nbsp;</li>
<li>Liaise with product, regulatory, finance, and compliance teams to ensure governance obligations are met under&nbsp;Nium’s&nbsp;regulatory licenses worldwide.&nbsp;</li>
<li>Oversee intercompany arrangements, including capital contributions, share issuances, and other intra-group transactions, in coordination with finance and local corporate secretaries.&nbsp;</li>
<li>Manage D&amp;O questionnaires, related party transactions, and conflicts of interest&nbsp;matters&nbsp;for directors and officers.&nbsp;</li>
<li>Support fundraising and financing initiatives, including preparing&nbsp;Nium&nbsp;for potential IPO readiness.&nbsp;</li>
<li>Lead and advise on global M&amp;A activity to support&nbsp;Nium’s&nbsp;growth in new and existing markets.&nbsp;</li>
<li>Contribute to special legal projects across multiple areas, including equity, IP, and employment.&nbsp;</li>
<li>Conduct legal research and provide guidance on complex corporate governance and regulatory issues.&nbsp;</li>
<li>Collaborate cross-functionally with corporate development, finance, HR,&nbsp;the broader&nbsp;legal, and compliance teams to enable&nbsp;Nium’s&nbsp;continued global expansion.&nbsp;</li>
<li>Prioritize business&nbsp;objectives&nbsp;and support the corporate legal needs of a rapidly scaling, internationally regulated company.&nbsp;</li>
<li>Proactively&nbsp;identify&nbsp;opportunities to add value and drive strategic initiatives across the business.&nbsp;</li>

Requirements
<ul>
<li>7+ years of relevant corporate experience at a major law firm and/or in-house legal team, with experience managing a portfolio of subsidiaries a strong plus.&nbsp;</li>
<li>Combination of in-house and law firm practice experience preferred.&nbsp;</li>
<li>Deep understanding of corporate governance requirements and best practices.&nbsp;</li>
<li>Proven&nbsp;expertise&nbsp;in corporate fundraising, M&amp;A, and corporate governance, gained through work with high-growth or multinational companies.&nbsp;</li>
<li>Strong research, writing, and project management skills, with the ability to manage multiple&nbsp;complex&nbsp;matters simultaneously.&nbsp;</li>
<li>Demonstrated ability to act as the primary in-house attorney on significant corporate projects.&nbsp;</li>

We are currently seeking an experienced trial attorney to add to our growing team. We are looking for enthusiastic candidates eager to take ownership of his/her own cases and who are not afraid of gaining trial experience. Unlike other firms, we pride ourselves on taking our cases from intake and up and through to trial, if necessary, which provides our employees and candidates the perfect opportunities to gain extensive trial, litigation, and negotiation experience.
QUALIFICATIONS:
• All of the qualifications listed for the Litigation Associate, including:
• Four (5) to ten (10) years of personal injury trial experience.
• Or, at least five (5) personal injury jury trials taken through to verdict.
• Employment law experience is a plus, though not necessary.
• Federal Court trial experience is a plus.
DUTIES AND RESPONSIBILITIES:
• Helping and mentoring other associates in their trial.
• 6 to 8 cases taken per year to trial, with anticipation of those to reach an ultimate jury verdict.
• Drafting Motion In Limine and other pre-trial motions
• Post-trial Motion Drafting and Argument
• Ability to handle all responsibilities of a litigation associate as firm needs arise.
REQUIREMENTS FOR ALL POSITIONS
• Licensed and in good standing with the California State Bar.
• Nevada State Bar (NV Bar) or other states licensure is a plus, but not required.
• Attention to detail and ability to multi-task in a fast-paced environment, with a willingness to work in a team atmosphere.
• Strong time management skills, including prioritization of cases and adhering to deadlines, internal or those imposed by the Court.
• Strong organizational, interpersonal communication, time management, and project management skills in handling the caseloads required of the position.
• Ability to work in a highly collaborative team environment with other lawyers and paralegals
• Fully Proficient in Microsoft Word, Microsoft Outlook, Microsoft Excel, Microsoft PowerPoint, and Adobe Acrobat DC.
