Job Title: Corporate Transactional Attorney (2–5 Years Experience)
Location: New York, NY (Hybrid)
Salary: $175,000 – $225,000 + full benefits
Job Description
We are seeking a transactional attorney with 2–5 years of directly relevant experience to join our New York office. This role is ideal for a lawyer who enjoys working directly with clients to form and maintain business entities, draft core governance documents, and support ongoing corporate legal needs.
The ideal candidate has hands-on experience forming corporations and LLCs, drafting and revising operating agreements and corporate governance documents, and advising clients on entity structure and maintenance. You should be comfortable leading client video calls, explaining legal concepts in a clear and approachable way, and collaborating closely with team members in a fast-paced, systems-driven environment.
We operate on a flat-fee, recurring revenue model. Performance is measured by quality, responsiveness, and output—not hours logged. There is no billable hour requirement at our firm.
In this position, you will work directly with clients who want to form companies, enroll in our entity management service, or engage us for other core services. You will play a central role in both new entity formation and ongoing entity maintenance for a sophisticated client base.
Responsibilities
- Form corporations and LLCs across multiple jurisdictions
- Draft and revise operating agreements, shareholder agreements, and related governance documents
- Advise clients on entity structure and organizational matters
- Maintain existing entities enrolled in our service
- Draft corporate minutes, incumbency certificates, and corporate resolutions
- Handle Secretary of State filings and related compliance matters
- Review and communicate with clients regarding service of process and entity status
- Work directly with clients via video and phone to guide them through formations and ongoing needs

- Salary range: $175,000 – $225,000, commensurate with experience
- Must be admitted to the New York Bar
Qualifications
- 2–5 years of directly relevant transactional experience at a New York law firm or comparable environment
- Strong experience forming entities and drafting operating agreements and related corporate documents
- Excellent client-facing presence and communication skills
- Technologically sophisticated and comfortable working in a systems-driven practice
