A San Francisco–based fintech company is seeking a Commercial Counsel to support its legal team on a remote contract basis. Reporting to the Senior Commercial Counsel, this attorney will take the lead on reviewing, drafting, and negotiating vendor and procurement agreements, with particular focus on SaaS, data privacy (including DPAs), and AI-related provisions. The ideal candidate brings hands-on experience managing complex technology contracts, strong business judgment, and the ability to operate independently in a fast-paced, high-growth environment.
Responsibilities
- Review, draft, and negotiate a wide range of vendor and procurement contracts, including SaaS, technology, and professional services agreements.
- Advise on data privacy and security issues in vendor engagements, including Data Processing Agreements (DPAs) and related privacy/security terms.
- Negotiate AI-related provisions in vendor and data licensing contracts (e.g., data rights, model training, use restrictions, regulatory compliance).
- Provide practical and strategic legal guidance to cross-functional teams with minimal ramp-up.
- Maintain organized contract records and support improvements to templates, playbooks, and contract management processes.
- Partner with business stakeholders to align contract terms with operational and strategic goals.
Qualifications
- Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Minimum of 3 years of hands-on experience negotiating commercial contracts, ideally in a technology, SaaS, or fintech environment.
- Demonstrated experience negotiating: Vendor and procurement agreements; SaaS/technology contracts; Data Processing Agreements (DPAs) and other privacy/security terms
- Demonstrated experience negotiating AI-related contract provisions (e.g., data licensing, model training restrictions, AI use rights, regulatory compliance) is strongly preferred; Candidates with strong SaaS/vendor + DPA experience and a clear interest in AI contracting (e.g., through training, coursework, self-study, or adjacent project exposure) will also be considered.
- Familiarity with privacy frameworks such as GDPR and CCPA is a plus.
- Proven ability to work independently, manage multiple priorities, and thrive in a remote, fast-moving environment.
- Excellent negotiation, drafting, and communication skills, with the ability to explain legal issues clearly to business partners.
- Highly organized and detail-oriented, with experience supporting contract management tools, templates, and playbooks.
