The Role
ISK Americas Incorporated (ISK) is looking for an attorney to serve as ISK’s Corporate Counsel. This is a generalist position that handles complex legal tasks, requiring advanced skills and sound judgment. The Corporate Counsel’s responsibilities cover all substantive areas of the Law Department, including corporate governance, contracts, antitrust, intellectual property, M&A, compliance, and litigation. The duties are varied and non-routine in nature and require an individual who can independently perform a variety of complex legal duties with minimal supervision and has a solid understanding of complex legal issues. The Corporate Counsel will be expected to exercise good judgment, common sense, and initiative, and to anticipate and spot potential issues while fulfilling his or her responsibilities. This role requires someone who can act with a high level of autonomy and minimal supervision.
Key Responsibilities
- Provide legal advice and support in the areas of corporate governance, contract, compliance, antitrust, intellectual property, and regulatory law matters.
- Attend to requirements with respect to general corporate matters, contract administration, compliance, governmental administrative proceedings, litigation, M&A, preparation of agreements, records management and legal research.
- Develop a strong working knowledge of business and operational goals and objectives.
- Manage multiple priorities and complete assigned tasks by utilizing detailed planning, sound business analysis, information systems support, and legal training.
- Furnish assistance to other officers and employees of the company as needed.
- Execute other functions as delegated or assigned.
Ideal Candidate Profile
- D. from an accredited law school and an excellent academic background.
- Licensed to practice law (or eligible for corporate counsel practice) in Ohio.
- 2 – 6 Years of experience drafting and negotiating contracts.
- Works autonomously with minimal supervision required.
- Strong organizational skills and computer skills (Microsoft Word, Excel, Outlook and database management) required.
