Overview

The Legal Counsel position provides legal advice to the organization’s executive team. This position will act as a liaison with the legal staff of various firms and organizations to ensure compliance with applicable laws and regulations.

Responsibilities

  1. Review and write various legal contracts, negotiating and managing client and vendor contracts and ensuring legal compliance.
  2. Advise the executive team on laws that impact functionality of the business. Provide strategic guidance on legal issues.
  3. Oversee the legal matters of the business as a whole, including acting as the business’ legal representative.
  4. Maintain knowledge of the company’s legal documents and operations. Keep records of all legal documents and proceedings for the company.
  5. Facilitate filing of licensing forms and other statutory requirements.
  6. Communicating with outside counsel.
  7. Oversee government relations, public policy, compliance, and corporate governance matters.
  8. Oversee internal policies and controls to identify legal and regulatory risks and implement solutions.
  9. Oversee the IP portfolio and enforcement, provide guidance on IP matters, review contracts and licensing agreements, manage disputes and litigation, and work to protect and extract value from the company's IP assets.
  10. Assist with commercial transactions, intellectual property matters, compliance issues, disputes, and other legal needs.
  11. Day to day legal service requests, advice, and subject matter expertise in support of the business.
  12. Apply legal expertise to contracts, compliance, disputes, transactions, and other matters to mitigate risk and facilitate business objectives.
  13. Complete any other tasks, as assigned by management.

Required Education/Experience

  • Juris Doctor (JD) degree required.
  • Minimum of 10 years of legal experience, with a significant portion in a corporate setting.
  • Comprehensive understanding of IP law, with significant experience in patent and trademark law.

  • Proficiency in professional communication to collaborate effectively with coworkers and other departments from many cultures.

Work Environment

The work environment for the position includes enclosed offices.

Physical Demands

The physical demands of the position include sitting at a desk for extended periods of time; ability to speak and hear speech and other sounds; ability to enter text or data via keyboard into a computer.
