Legal Search Solutions has partnered with a global organization to identify a Senior Legal Analyst/Paralegal to focus on Corporate Governance for its legal department.
This position is ideal for an experienced corporate governance professional who thrives in a fast-paced, sophisticated environment and is comfortable managing complex entity structures across multiple jurisdictions. The role offers broad exposure to corporate governance, compliance, transactional support, and legal operations within an established international organization.
Position Overview
The position will oversee a wide range of corporate governance and entity management responsibilities involving domestic and international subsidiaries. This individual will work closely with legal leadership and cross-functional teams to support governance initiatives, compliance obligations, corporate transactions, and special projects.
Key ResponsibilitiesCorporate Governance & Entity Management
- Maintain and organize corporate records, governance materials, minute books, organizational charts, and related documentation for entities across the United States, Canada, and the Caribbean.
- Prepare board resolutions, shareholder consents, officer certificates, powers of attorney, and other governance-related documentation.
- Coordinate entity formations, qualifications, dissolutions, and ongoing maintenance filings in multiple jurisdictions.
- Ensure entities remain in good standing through timely completion of annual reports, registrations, and related compliance filings.
- Maintain and update entity management databases and respond to internal requests relating to subsidiary information and governance records.
Transactional & Legal Support
- Assist attorneys with corporate transactions, including mergers, acquisitions, restructurings, and other strategic initiatives.
- Support legal leadership and business stakeholders on special projects and cross-functional initiatives.
- Assist with preparation and review of transactional and governance documentation.
Compliance & Regulatory Matters
- Monitor corporate governance and regulatory developments affecting the organization and assist with implementing necessary actions.
- Support preparation and submission of compliance-related filings and documentation, including regulatory and due diligence materials.
- Assist with KYC, UBO, and other corporate compliance processes as needed.
Cross-Functional Collaboration
- Work closely with internal departments including Finance, Tax, and Operations, as well as external counsel and regulatory agencies.
- Provide support and guidance to business units on corporate governance and compliance-related matters.
- Assist with broader legal operations and departmental initiatives as needed.
Required Skills & Qualifications
- Strong knowledge of corporate governance principles, entity management, and regulatory compliance requirements.
- Experience managing entities and corporate filings across multiple jurisdictions.
- Ability to prioritize and manage multiple projects in a deadline-driven environment.
- Excellent organizational skills and strong attention to detail.
- Strong written and verbal communication skills with the ability to draft clear, concise documentation.
- Self-motivated professional with a collaborative, client-service-oriented mindset.
Education & Experience
- Bachelor’s degree required.
- ABA-approved paralegal certification or equivalent experience preferred.
- Minimum of 10 years of experience in corporate governance, entity management, or corporate paralegal work within a corporate legal department or large law firm.
- Experience supporting sophisticated corporate governance and transactional matters strongly preferred.
- Familiarity with entity management platforms and subsidiary databases is a plus.
