Job DescriptionDirect Counsel is seeking an Emerging Companies & Venture Capital Associate Attorney (Mid-to-Senior Level) to join a national law firm across multiple U.S. offices.

Overview
Direct Counsel is recruiting a mid-to-senior level corporate associate attorney to join the Emerging Companies & Venture Capital team. The ideal candidate has 4–6 years of experience in sophisticated corporate transactions, with a focus on venture capital, emerging company representation, mergers & acquisitions, and technology company transactions.
Key Responsibilities

Advise emerging growth companies and venture capital investors on corporate governance, financing, and transactional matters.

Draft, negotiate, and review investment agreements, M&A agreements, stockholder agreements, and other corporate documents.

Support mergers & acquisitions and venture financing transactions from inception through closing.

Collaborate closely with partners, clients, and cross-disciplinary teams on strategic and complex matters.
Qualifications

4–6 years of corporate and venture capital experience at a national or large law firm.

Experience with technology-focused clients preferred.

JD from an accredited law school and active membership in the bar of the state where practicing.

Strong drafting, analytical, and communication skills.

Ability to manage multiple matters efficiently in a collaborative team environment.
Compensation
The anticipated salary range for this role is $265,000 – $390,000, depending on experience and location.
