Direct Counsel is seeking a Technology Transactions Associate to join a highly respected Am Law firm in Boston. This is a unique opportunity for a mid-level associate to work at the forefront of technology, intellectual property, and commercial transactions while advising innovative clients on cutting-edge matters involving artificial intelligence, emerging technologies, and complex commercial arrangements.
The ideal candidate will have 3–5 years of technology transactions experience at a leading law firm, including substantial experience drafting and negotiating sophisticated technology and commercial agreements and supporting corporate transactions involving intellectual property and technology assets.
Qualified candidates will possess:
- 3–5 years of technology transactions experience at a law firm
- Experience drafting, reviewing, and negotiating a broad range of commercial agreements, including licensing agreements, SaaS agreements, development and collaboration agreements, data use agreements, and strategic partnership agreements
- Experience conducting IP and technology due diligence in connection with mergers and acquisitions, financings, and other corporate transactions
- Familiarity with intellectual property concepts, technology commercialization, and licensing matters
- Interest or experience advising clients on artificial intelligence-related legal and regulatory issues, including data governance, risk allocation, and compliance considerations
- Excellent drafting, analytical, communication, and organizational skills
- Strong academic credentials
- Admission to the Massachusetts Bar or eligibility to waive in
