Job DescriptionThe Opportunity: Corporate Associate AttorneyCapital Markets GroupAbout the FirmA highly regarded, nationally recognized law firm is seeking a Corporate Associate Attorney (3–5 years’ experience) to join its sophisticated Capital Markets practice in the New York office. This is an exceptional opportunity to work alongside leading practitioners on complex, high-profile transactions representing issuers, underwriters, and financial institutions across a broad spectrum of industries.Position OverviewThe ideal candidate will have substantive experience handling a wide range of capital markets transactions, including both registered and unregistered debt and equity offerings, as well as liability management transactions. Candidates should be comfortable operating in a fast-paced, team-oriented environment and contributing meaningfully to transaction execution and client strategy.Key Responsibilities

  • Represent issuers, underwriters, and financial institutions in public and private securities offerings
  • Draft and negotiate offering documents, underwriting agreements, indentures, and ancillary transaction materials
  • Advise clients on SEC reporting and disclosure obligations
  • Assist with liability management transactions, including exchange offers, tender offers, and consent solicitations
  • Conduct due diligence and coordinate transaction execution across multidisciplinary teams
  • Provide strategic guidance on capital markets compliance and corporate governance matters

Qualifications

  • 3–5 years of experience in capital markets transactions at a leading law firm
  • Experience with registered offerings (including IPOs and follow-on offerings) and Rule 144A / Regulation S transactions
  • Exposure to high-yield and investment-grade debt offerings preferred
  • Strong drafting, analytical, and organizational skills
  • Excellent academic credentials
