Senior Paralegal – Real Estate, Transactions & Corporate Governance
Type: Direct Hire
Location: San Jose, CA or Los Angeles, CA (On-Site) – Relocation required if not a commutable distance from either location
Salary: $102K – $190K annually (DOE)
About the Role
We are partnered with California’s largest water utility—the third-largest in the US—to recruit a Senior Paralegal for their Legal Department. The selected candidate will be hired as a full-time employee directly with our client.
The Legal Department is an efficient, high-impact team of attorneys providing full-service legal support across a multi-state enterprise. The Senior Paralegal will work with substantial autonomy on real estate and transactional matters, corporate governance, litigation support, and legal operations.
The ideal candidate brings a combination of private practice, government or regulatory, and in-house experience. The work spans regulated utility transactions, multi-jurisdictional real property matters, public company governance, and civil litigation — a profile that rewards breadth over narrow specialization.
Key Responsibilities
Real Estate & Transactional (Primary Focus)
- Draft real property instruments including Rights of Entry, Licenses, Easements, Leases, and Deeds
- Draft and review commercial agreements including MSAs, SOWs, and NDAs
- Conduct title and real property research using public databases and commercial platforms
- Coordinate and manage escrow processes for real estate transactions
- Organize and synthesize legal due diligence for real estate and M&A transactions
- Manage real estate and corporate transaction files
Corporate Governance & Compliance
- Support SEC reporting, corporate governance filings, and entity maintenance across multiple states
- Assist with privacy compliance matters and data governance documentation
- Support labor and employment compliance documentation and related matters
Litigation Support
- Draft demand letters, cease-and-desist letters, and litigation hold and preservation notices
- Manage litigation holds and litigation calendars
- Coordinate responses to subpoenas, discovery requests, and document requests in civil, administrative, and criminal proceedings
Research & Legal Operations
- Conduct legal research using LexisNexis, Westlaw, and public/government databases
- Research federal, state, and local statutes, codes, ordinances, and case law across multiple jurisdictions
- Assist with outside counsel management, billing oversight, and invoice review
- Contribute to development of internal policies, procedures, and legal operations initiatives
Qualifications
Required
- ABA-approved Paralegal Certificate required
- Bachelor’s or Associate’s Degree
- 8+ years of paralegal experience with demonstrated depth in real estate transactional and/or corporate work
- Background combining two or more of: private law firm, government/regulatory agency, and corporate in-house environments
- Experience drafting real property instruments: Rights of Entry, Easements, Licenses, Leases, Deeds
- Title and real property research experience
- Experience coordinating real estate escrows and transaction due diligence
- Strong legal research skills — LexisNexis and/or Westlaw required
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook)
- Proven ability to manage confidential matters with discretion in a regulated-entity environment
- Exceptional written and verbal communication; strong organizational skills and attention to detail
- Self-starter capable of managing a diverse, high-volume workload independently
- Must be willing and able to work on-site in San Jose or Los Angeles, CA
Preferred
- Experience supporting SEC filings, public company governance, or investor relations documentation
- Familiarity with privacy law and data governance compliance
- Multi-state or multi-jurisdiction real property research experience
- Experience with outside counsel management systems (e.g., Legal Tracker, TyMetrix)
- NALA Certified Paralegal (CP) or NFPA PACE designation
- Active California Notary Public License
- Experience in a regulated industry: utilities, energy, telecom, finance, or government
