Established (150+ Years) AM 100 Law Firm Seeking Junior to Mid-Level Associate for Private Equity Fund Formation - Chicago, DC, or NY
An established Am 100 Law firm with over 150 years in practice is seeking a Junior to Mid-Level Associate Attorney to join its Asset Management group focused on SBIC and private equity fund formation. The ideal candidate will have 2-5 years of experience working on fund formation matters, including private equity funds and small business investment companies, and a strong understanding of relevant securities regulations and government compliance requirements. This team is nationally recognized for its work in private equity fund formation and is especially active in guiding SBICs through licensing and compliance.
This position is based in Chicago, DC, or New York (preference for Chicago). The team works on-site 3 days per week, with the first month fully in-office for onboarding and deal flow training. The role includes a 2-week ramp-up period, and attorneys benefit from a collaborative team of approximately 15 attorneys across multiple offices.
Offer:
Salary range: Cravath scale ($225,000+), based on class year

Qualifications:
2-5 years of experience in private equity fund formation or SBIC matters
Exposure to government compliance filings, fund licensing, and fund closings
Strong academic credentials and licensed to practice in IL, NY, or DC
Team-oriented with excellent drafting and client communication skills
Responsibilities:
Supporting clients in the structuring and formation of SBICs and private equity funds
Preparing fund documents, LPAs, subscription agreements, side letters, and compliance filings
Working with regulatory bodies on SBIC licensing and fund registration
Collaborating with team members across DC, Chicago, and NY offices
Managing timelines and deliverables across high-volume transactions
