Compensation: $310,000 – $390,000 base salary (commensurate with experience)
Direct Counsel is seeking an Investment Funds Mid-Level Associate to join a top-tier, national law firm with a premier private equity and investment management practice.
The ideal candidate will have 4–6 years of significant experience advising private equity sponsors and institutional investors on fund formation and related matters, preferably gained at a large law firm or, in limited circumstances, in an in-house setting.
Key Responsibilities Include:

Assisting private equity fund sponsors with fund formation matters, including drafting and negotiating:

Private placement memoranda
-
Limited partnership agreements
-
Side letters and related ancillary agreements

Reviewing fund documentation on behalf of institutional investors and negotiating fund terms

Structuring and drafting governing documents for private equity fund management companies and general partners

Advising on regulatory matters applicable to private investment funds
Qualifications:

4–6 years of private equity fund formation experience

Working knowledge of relevant securities laws and regulations, including the Investment Advisers Act

Experience with private equity secondary transactions and/or GP-led restructurings is a plus

Excellent drafting, negotiation, and client communication skills

Admission to the state bar in the office location (or eligibility for prompt admission)
