Robert Half is seeking an experienced ABS Attorney (Asset-Backed Securities) with a strong background in structured finance and securitizations. This position supports a high-volume capital markets team and focuses on transactions related to asset-backed securities issuances. The ideal candidate will have direct experience drafting securitization documents, analyzing asset pools, and working with rating agencies and regulatory compliance teams.
Location: New York, NY — Hybrid (3 days on-site / 2 days remote)
Schedule: 35–40 hours per week (Standard Business Hours)
Compensation: $60+ per hour
Duration: 6+ months (w/ potential to extend)
Key Responsibilities
- Support or lead structured finance and securitization transactions from structuring through closing.
- Draft, review, and negotiate securitization documentation, including:
- Pooling & Servicing Agreements (PSAs)
- Indentures
- Trust agreements
- Offering memoranda and related transaction documents
- Work on transactions involving various asset pools such as auto loans, credit card receivables, mortgages, equipment finance receivables, student loans, and other consumer or commercial receivables.
- Provide or support true sale and/or non-consolidation analysis.
- Assist with Reg AB II compliance, reporting, and documentation.
- Interact with rating agencies and respond to diligence and documentation requests.
Required Qualifications
- Explicit experience in securitizations or structured finance (must be present on resume).
- Experience drafting or reviewing PSAs, indentures, trust documents, and offering memoranda.
- Experience supporting securities issuance or structured finance transactions.
- Strong drafting, analytical, and transaction‑management skills.
Preferred Qualifications
- Experience with Reg AB II and/or rating agency engagement.
- Exposure to repeat-issuer or programmatic securitization platforms.
- Background in a law firm structured finance group, investment bank, or issuer-side legal team.
