Direct Counsel represents a prestigious AmLaw firm seeking a Tax-Exempt Organizations / Nonprofit Associate Attorney with 3–6 years of experience to join its Tax Practice Group. This position is open in the following office locations:

This opportunity offers the chance to work with nationally recognized nonprofit, charitable, philanthropic, healthcare, and tax-exempt organization clients.
Responsibilities:
- Advise nonprofit and tax-exempt organizations on federal tax-exemption requirements and compliance matters
- Counsel clients on nonprofit governance, board practices, conflicts of interest, executive compensation, and organizational policies
- Assist with obtaining and maintaining tax-exempt status
- Advise on private foundation rules, UBIT, excess benefit transactions, and Form 990 reporting requirements
- Structure relationships between nonprofit and for-profit entities
- Support nonprofit mergers, reorganizations, dissolutions, and other strategic transactions
- Conduct legal research and prepare memoranda, opinions, and client communications
- Collaborate with attorneys across tax, healthcare, corporate, and private client practice groups
Qualifications:
- Juris Doctor (JD) from an accredited law school
- 3–6 years of tax-exempt organizations and nonprofit law experience
- Significant experience with tax-exempt organization compliance and nonprofit governance matters
- Strong legal research, writing, analytical, and communication skills
- Ability to manage multiple matters and work independently when appropriate
- Strong attention to detail and organizational skills
- Team-oriented mindset with excellent interpersonal skills
- Licensed and in good standing with the bar in the applicable jurisdiction
Preferred Experience:
- Healthcare organizations, hospitals, or health plans
- Nonprofit transactions, restructurings, mergers, and dissolutions
- Philanthropic planning for high-net-worth individuals and businesses
- Transactional matters involving tax-exempt entities
- International nonprofit activities and grantmaking
Compensation & Benefits:
- Salary range: $260,000 – $390,000 annually
