Job DescriptionDirect Counsel is seeking a Corporate Associate Attorney (Investment Services) to join a national law firm’s investment management practice in Chicago, New York, or Washington, DC.
This opportunity is ideal for a midlevel corporate associate (3–6 years of experience) with a background in investment advisers, private investment funds, and securities regulatory matters. The role offers meaningful client interaction, collaboration with senior attorneys, and participation in business development initiatives within a collegial, team-oriented environment.
Key Responsibilities:

Advise SEC-registered investment advisers and private investment funds (private equity, venture capital, and real estate funds)

Handle regulatory and compliance matters under federal securities laws, including the Investment Advisers Act of 1940, Investment Company Act of 1940, and Securities Act of 1933

Assist with transactional matters involving investment advisers and private funds, including adviser M&A, continuation vehicles, and secondary transactions

Manage multiple client matters simultaneously while maintaining high-quality work product

Collaborate closely with senior attorneys and clients on strategic and regulatory issues
Qualifications:

3–6 years of corporate and securities experience at a law firm

Experience representing investment advisers and private investment funds

Exposure to adviser-side M&A or fund-related transactions preferred

JD from an accredited law school with strong academic credentials

Admission (or ability to become admitted) in Illinois, New York, or Washington, DC

Strong organizational, communication, and client-service skills
Work Environment:
Hybrid schedule with three days in-office and two days remote.
Compensation:
$260,000 – $340,000 base salary, commensurate with experience, plus bonus eligibility.
