Are you an accomplished attorney looking to advance your legal career with a premier global law firm? Our client, a prestigious AmLaw 50 firm ranked by Chambers & Partners and The Legal 500 US, is seeking a Commercial Mortgage-Backed Securities (CMBS) Associate Attorney to join their highly ranked Global Finance practice.

This team represents issuers, underwriters, servicers, and investors across a significant share of CMBS transactions—including CRE CLOs—advising on complex, market-defining deals.

About the Role

As a CMBS Associate Attorney, you will:

  • Advise clients on a wide range of CMBS and CRE CLO transactions

  • Draft, review, and negotiate securitization documents, including pooling and servicing agreements, mortgage loan purchase agreements, bid letters, investor certifications, and confidentiality agreements

  • Manage transactions from due diligence through closing, ensuring regulatory compliance and seamless execution

  • Collaborate with colleagues across the Global Finance group

  • Support deal structuring, disclosure oversight, and post-closing legal work



RequirementsCandidate Qualifications

We are seeking a highly qualified associate with:

  • JD from a top-tier law school with a strong academic record

  • Active Bar Admission in New York, Pennsylvania, Massachusetts, or North Carolina (or ability to waive in)

  • 3–6 years of experience in securitization and structured finance, particularly in CMBS transactions

  • Demonstrated experience drafting and negotiating key securitization documents such as PSAs, MLPAs, and bid letters

  • Large law firm experience required

  • Familiarity with repurchase facilities and warehouse lending

  • Experience with permanent capital vehicles, M&A, BDCs, or life sciences is a plus
