Are you an accomplished attorney looking to advance your legal career with a premier global law firm? Our client, a prestigious AmLaw 50 firm ranked by Chambers & Partners and The Legal 500 US, is seeking a Commercial Mortgage-Backed Securities (CMBS) Associate Attorney to join their highly ranked Global Finance practice.
This team represents issuers, underwriters, servicers, and investors across a significant share of CMBS transactions—including CRE CLOs—advising on complex, market-defining deals.
About the Role
As a CMBS Associate Attorney, you will:

Advise clients on a wide range of CMBS and CRE CLO transactions

Draft, review, and negotiate securitization documents, including pooling and servicing agreements, mortgage loan purchase agreements, bid letters, investor certifications, and confidentiality agreements

Manage transactions from due diligence through closing, ensuring regulatory compliance and seamless execution

Collaborate with colleagues across the Global Finance group

Support deal structuring, disclosure oversight, and post-closing legal work
RequirementsCandidate Qualifications
We are seeking a highly qualified associate with:

JD from a top-tier law school with a strong academic record
-
Active Bar Admission in New York, Pennsylvania, Massachusetts, or North Carolina (or ability to waive in)

3–6 years of experience in securitization and structured finance, particularly in CMBS transactions

Demonstrated experience drafting and negotiating key securitization documents such as PSAs, MLPAs, and bid letters

Large law firm experience required

Familiarity with repurchase facilities and warehouse lending

Experience with permanent capital vehicles, M&A, BDCs, or life sciences is a plus
