Position Overview
We are seeking a skilled M&A Attorney to lead and manage mergers and acquisitions transactions from inception through closing. The ideal candidate will have hands-on M&A field practice and expertise in corporate transactions, due diligence, contract negotiation, and regulatory compliance, supporting strategic growth initiatives and advising clients or internal stakeholders on deal structure and execution.
Key Responsibilities
- Lead and manage full life-cycle M&A transactions, including buy-side and sell-side deals, asset and stock purchases, and mergers.
- Draft, review, negotiate, and finalize acquisition agreements, disclosure schedules, purchase agreements, merger agreements, and ancillary documents.
- Conduct and coordinate legal due diligence, identify key risks and liabilities, and advise on risk mitigation and deal structuring.
- Advise on corporate governance, securities law, regulatory filings, and antitrust issues as they relate to transactions.
- Coordinate with cross-functional teams including finance, tax, HR, and external counsel to ensure seamless transaction execution.
- Manage transaction timelines, milestones, closings, and post-closing integration matters.
- Prepare and present legal analyses, memos, and reports to clients or senior management to inform decision-making.
- Mentor junior attorneys and support business development efforts, including client relationship management and proposal preparation.
- Ensure compliance with applicable laws and internal policies, and maintain high standards for legal documentation and confidentiality.
Qualifications
- Juris Doctor (JD) or equivalent degree from an accredited law school and admission to the bar in good standing.
- 5+ years of progressive experience in M&A, mergers, acquisitions, or corporate transactional work; prior experience in M&A field practice strongly preferred.
- Proven track record drafting and negotiating acquisition agreements, merger agreements, and related transaction documents.
- Strong knowledge of corporate law, securities regulations, corporate governance, and regulatory considerations affecting transactions.
- Excellent analytical, drafting, negotiation, and project management skills with attention to commercial and business considerations.
- Effective communicator with the ability to advise senior executives, clients, and cross-functional teams.
- Experience coordinating due diligence processes and managing external counsel and advisors.
- Ability to work independently, prioritize multiple matters, and meet deadlines in a fast-paced environment.
- Familiarity with industry-standard deal processes and tools; experience as an Attorney or M&A Attorney is a plus.
