They are seeking an experienced Securities & Governance Counsel to play a key role in ensuring compliance, supporting corporate governance, and advising on strategic transactions within a fast-paced, high-growth environment.


Key Responsibilities

  • Lead compliance with SEC regulations and applicable exchange rules, including oversight of 10-K, 10-Q, 8-K filings, and proxy statements
  • Manage and support Sarbanes-Oxley (SOX) compliance processes
  • Partner with senior leadership on earnings releases, investor communications, and disclosure strategy
  • Advise on corporate governance matters, including board support and shareholder engagement
  • Provide legal guidance on equity and debt financings, M&A, joint ventures, and other corporate transactions
  • Support development and implementation of corporate policies, procedures, and governance frameworks
  • Advise on international legal and regulatory risks as the business expands globally
  • Collaborate cross-functionally to deliver legal solutions across finance, operations, and executive teams
  • Support equity programs, including stock administration and employee education
  • Monitor regulatory developments and governance best practices to ensure ongoing compliance


Experience & Qualifications

  • Qualified lawyer with a Bachelor’s degree and Juris Doctor (or equivalent)
  • 10+ years’ experience in securities, governance, or corporate law
  • Prior experience at a top-tier law firm (minimum 5 years)
  • In-house experience at a public company is essential
  • Strong knowledge of SEC regulations, reporting obligations, and corporate governance frameworks
  • Experience supporting cross-border operations or international expansion is advantageous
  • Proven ability to drive initiatives across a global, matrixed organization
  • Excellent stakeholder management and ability to operate in a fast-paced, high-growth environment
