Associate: Milbank LLP is seeking Associate in New York, NY. Pos req JD, LLM or foreign equiv + 5 yr exp in offered pos or related occuptn. 1 yr exp must incl: Draft commitmnt papers, financng agreemnts, security docs & credit agreemnts for cross-border corp & leverage finance transactns; Draft registration statemnts, offering memoranda, purchase & underwriting agreemnts for cross-border capital markets transctns; Advise on cross-border M&A, finance & restructuring; Provide legal counsel related to compliance w/ Securities Act of '33 & reporting under Exchange Act of '34, NYSE & NASDAQ rules, incl annual reports under Forms 10-K & 20-F. Up to 15% domestic & internatnl travel req. NY bar admission req. Salary Range: $310,000/yr.
