Direct Counsel is seeking a mid-to-senior level Associate Attorney to join the Employee Benefits and Executive Compensation practice at a global Am Law firm. This role offers the opportunity to work on sophisticated compensation and benefits matters in a collaborative environment that supports meaningful client work and long-term professional development.
The ideal candidate will have a strong interest in executive compensation and employee benefits law and experience advising clients on complex compensation arrangements and benefit plans, particularly in connection with corporate transactions.
Responsibilities

Advise clients on executive compensation and employee benefits matters, including equity incentive plans, executive employment agreements, and retention arrangements

Assist with the employee benefits and compensation aspects of mergers, acquisitions, and other corporate transactions

Draft and review equity plans, compensation arrangements, executive agreements, and employee benefit plan documents

Conduct legal research and analysis related to ERISA, tax, and securities law issues impacting compensation and benefits structures

Prepare written materials including memoranda, agreements, and client communications

Collaborate with attorneys across practice groups on transactional matters involving compensation and benefits components

Manage multiple assignments while maintaining strong attention to detail and organizational discipline

Participate in client communications and help maintain strong client relationships
Qualifications

Minimum 3 years of relevant legal experience in employee benefits and executive compensation matters

Experience advising on equity compensation plans, executive compensation arrangements, retirement and welfare plans, and benefits issues in M&A transactions

Strong analytical, research, and writing skills

Excellent organizational skills and attention to detail

Ability to manage multiple projects simultaneously and work both independently and collaboratively

Demonstrated sound business judgment and strong communication skills

J.D. from an accredited law school with strong academic credentials

Active admission to practice in California (or eligibility to waive in)
Compensation & Benefits
This position offers a competitive compensation package with a salary range of approximately $260,000–$435,000, depending on geographic market, experience, and overall qualifications.
