Position Overview

The Senior Corporate Counsel will work with all of the Kelso operating companies and will be primarily focused on managing and overseeing commercial transactions and other contract-related matters, ensuring compliance with legal standards, and supporting the company's business objectives. The ideal candidate will have extensive experience in contract law and a strong ability to negotiate, draft, and review a wide range of contractual agreements, including procurement-related contracts.

JOB RESPONSIBILITIES:

  • Commercial Transactions: Assist with commercial transactions, including drafting, reviewing, negotiating, and finalizing various types of contracts (e.g., MSAs, vendor agreements, service contracts, NDAs, licensing agreements).
  • Legal Compliance: Assist with ensuring compliance with applicable laws, regulations, and company policies across multiple states.
  • Risk Assessment: Identify and mitigate potential legal risks associated with contractual agreements.
  • Stakeholder Collaboration: Work closely with internal departments (e.g., finance, operations, sales) to understand business needs and provide legal guidance on contract-related matters.
  • Dispute Resolution: Handle contract disputes and provide strategic advice to resolve issues efficiently.
  • Training and Development: Conduct training sessions for staff on contract management best practices and legal compliance.
  • Policy Development: Assist in developing and updating company policies related to contracts and legal compliance.
  • Documentation and Record Keeping: Maintain organized records of all contracts and related documents.
  • Procurement Oversight: Develop and implement procurement policies and procedures to ensure compliance with legal and regulatory requirements. Review and negotiate vendor contracts to secure favorable terms and mitigate risks.

QUALIFICATIONS:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: Minimum of 4+ years of experience in contract law, preferably in a corporate legal department.
  • Licensure: Active bar membership in good standing.

SKILLS:

  • Strong knowledge of contract law and legal principles.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple projects and meet deadlines.
  • High attention to detail and organizational skills.
  • Proficient with Microsoft Office Suite or related software.
  • Comfortable working in an evolving and growing environment.

PREFERRED QUALIFICATIONS:

  • Experience in the construction industry and with M&A activities is preferred.

WORKING CONDITIONS:

  • Prolonged periods sitting at a desk and working on a computer
  • Must be able to lift up to 50 pounds at times
  • Willingness to travel as required
