Capital Markets Associate - Mid‑Level (3-6 Years)
Location: New York, NY
Compensation: $235,000 - $285,0000

You'll play a key role in transformative equity and debt transactions, ensuring clients navigate complex regulatory and transactional landscapes with ease.
Responsibilities
- Lead and support IPOs, SPAC IPOs and de-SPAC business combinations, follow-ons, registered direct/ATM offerings, Rule 144A, Reg D/A/S financings, PIPEs/private placements.
- Draft and negotiate offering documents - registration statements, underwriting agreements, prospectuses, and disclosure schedules.
- Handle complex debt financings: convertible debt, structured and cross-border financings.
- Support asset-backed, real estate, fund finance, mezzanine, and second-lien transactions.
- Advise on SEC, FINRA, stock exchange compliance, public reporting obligations, insider trading, stock repurchase plans, broker-dealer matters, and corporate governance policies.
- Provide support for ongoing reporting, governance and stakeholder engagement, often as outside corporate counsel.
- Engage in cross-border transactions and international listings, especially in Asia, Europe, and LatAm
- Work with sector-specialist attorneys in TMT, life sciences, energy, entertainment, real estate, and financial services.
- Conduct due diligence, coordinate internal deal teams, supervise junior associates, and manage external advisors.
- Cultivate relationships with issuers, underwriters, financial intermediaries, and investors.
Qualifications
- 3-6 years in capital markets, equity or debt finance at a national or AmLaw 100 firm
- Transactional experience in IPOs, SPACs, debt offerings, private placements, or PIPE deals
- Solid understanding of securities laws (Securities Act, Exchange Act), listing rules, and compliance frameworks
- Experience preparing SEC filings (S-1, S-3, 8-K, proxy statements) and governance documentation
- Strong drafting ability and analytical skills; able to manage fast-paced, deadline-driven work
- J.D. and active NY Bar membership
