Job Summary
The Paralegal – PRT & Reinsurance provides professional-level legal support to the VP, Senior Corporate Counsel and broader Legal team in connection with Pension Risk Transfer (PRT) and Reinsurance & Capital Management matters. This role independently manages complex legal and administrative tasks, supports transaction execution, maintains legal records, and contributes to process improvements within a fast-paced, transactional legal environment.
Key Responsibilities
Transaction & Legal Support (PRT and Reinsurance)
- Assist in the preparation, review, and management of transaction documents, including NDAs, commitment agreements, group annuity contracts, reinsurance treaties, trust agreements, and related ancillary documents
- Support attorneys in coordinating pension risk transfer and reinsurance transactions, including document tracking, execution, and closing processes
- Maintain and organize transaction records, ensuring accuracy, completeness, and accessibility
- Track post-transaction deliverables, including contract finalization, certificates, and compliance documentation
- Assist with drafting and submission of regulatory filings
Legal Research & Analysis
- Conduct comprehensive legal research as needed and summarize findings for attorneys
- Analyze legal and regulatory information impacting PRT and reinsurance activities
- Support responses to internal inquiries, regulatory requests, and examination materials
Case, Document & Records Management
- Manage complex legal files, including version control, document integrity, and audit readiness
- Maintain calendars and track deadlines for transactions, filings, and regulatory obligations
- Ensure proper organization of legal records in accordance with internal policies and regulatory requirements
Outside Counsel Coordination
- Coordinate with outside counsel on document exchange and matter status tracking
Process Improvement & Team Support
- Identify opportunities to improve legal workflows, document management, and transaction processes
- Support special projects and cross-functional initiatives led by Legal leadership
- Act as a liaison between Legal and business stakeholders to facilitate efficient handling of legal matters
Education & Experience
- Bachelor's degree or equivalent combination of education and experience
- 2+ years of paralegal or related legal experience, preferably in financial services, insurance, or transactional law
Licenses / Certifications
- Paralegal certification/designation preferred
Skills & Abilities
- Strong legal research skills and proficiency with legal research databases (e.g., LexisNexis)
- Understanding of transactional legal processes and lifecycle of legal documents
- Ability to manage multiple priorities and deadlines in a fast-paced environment
- Strong organizational skills with high attention to detail and accuracy
- Proficiency in Microsoft Office (Word, Excel, PowerPoint)
- Effective written and verbal communication skills
- Ability to work independently while collaborating with attorneys and cross-functional teams
Other Requirements
- Ability to work in a dynamic, deadline-driven environment
- Regular and punctual attendance
- Perform other duties and special projects as assigned
- Some travel may be required (less than 10%)
