Salary: $120k-$160k/yr

Location: Fort Washington, PA (onsite position)


Position Overview
We are seeking a motivated Associate Attorney - Corporate to support our corporate and transactional practice. The successful candidate will advise clients on business transactions, assist with mergers and acquisitions (asset and stock deals), draft and negotiate contracts, and manage entity formation and corporate governance matters. This role requires strong transactional experience, attention to detail, and the ability to work collaboratively with senior attorneys and clients to achieve commercial outcomes.

Key Responsibilities

  • Advise clients on corporate governance, business transactions, and entity formation, including LLCs, corporations and other business structures.
  • Draft, review, and negotiate commercial agreements, including purchase agreements, asset and stock purchase agreements, merger agreements, shareholder agreements, operating agreements, and ancillary transaction documents.
  • Support M&A transactions by conducting legal due diligence, preparing deal documentation, coordinating closing deliverables, and assisting with deal structuring and integration issues.
  • Prepare corporate governance documents, board resolutions, meeting minutes, and state filings; manage corporate recordkeeping and compliance matters.
  • Conduct legal research and prepare memoranda on corporate law, securities, tax and regulatory issues relevant to client transactions.
  • Coordinate with clients, opposing counsel, financial advisors and internal teams to move transactions to closing and resolve issues efficiently.
  • Manage multiple matters and deadlines, prioritize tasks, and maintain clear and timely client communications.
  • Contribute to business development and client service initiatives, including drafting client-facing materials and participating in client meetings.

Qualifications

  • Juris Doctor from an accredited law school and active admission to at least one state bar.
  • 2+ years of experience in corporate and transactional law at a law firm or in-house environment; mid-level associates with 26 years preferred.
  • Demonstrated experience with M&A transactions, including asset and stock purchases, and related due diligence and documentation.
  • Strong drafting and negotiation skills for contracts and transaction documents.
  • Practical experience with entity formation, corporate governance, and business transactions.
  • Working knowledge of corporate securities, tax considerations and regulatory implications related to transactions is a plus.
  • Excellent written and oral communication skills, strong attention to detail, and proven ability to manage competing priorities.
  • Client-focused attitude, collaborative team player, and ability to work independently when needed.
  • Familiarity with legal technology, document management systems, and research tools; experience with start-ups, private equity or corporate clients is a plus.
  • Core practice skills: Corporate, Transactional, Business Transactions, contract drafting, Formation, M&A, asset and stock transactions.
