Position Summary:
BioFire Defense is seeking a highly organized and detail-oriented Contract Specialist responsible for managing and overseeing the entire lifecycle of contracts within the organization, from initial drafting and negotiation to performance monitoring and closeout. This position is responsible for managing and administering contracts, ensuring compliance with contract terms, and supporting other legal aspects of the Company. This position serves as a liaison between internal stakeholders, affiliates, customers, vendors, and legal counsel to ensure contracts and related legal matters are executed in a timely and efficient manner.
Key Responsibilities:
- Confidentiality and Discretion: Handle sensitive information with integrity, ensuring confidentiality in all matters related to the Companys operation and strategy.
- Manage and maintain a centralized contract management system, ensuring documents are tracked, stored, and updated in accordance with company policy.
- Coordinate with internal departments, affiliates and external counsel to prepare, review, organize, and maintain legal documents including NDAs, service agreements, purchase and lease agreements, sales agreements, distributor agreements, quality and supply agreements, study agreements, RFPs and RFQs, subcontract and consulting agreements, and other general corporate and business agreements.
- Manage the administrative aspects of contract and compliance functions, including maintaining contract files, databases, and tracking systems.
- Read, interpret, and evaluate contract terms and conditions, focusing on obligations, deadlines, and potential issues.
- Assist in developing and improving internal processes and agreement templates for improved efficiency and consistency.
- Monitor key contractual deadlines, obligations, and renewal dates to ensure compliance.
- Liaise with internal departments and affiliates to facilitate timely contract negotiation and execution.
- Support risk management initiatives by identifying potential issues.
- Communicate and coordinate with external legal counsel as needed.
Qualifications:
Education & Experience:
- Required:
- A minimum of 10 years of relevant experience in a corporate legal environment, contract administration, or equivalent.
- OR a bachelors degree and/or Paralegal or Contract Management certification with at least 5 years of relevant experience.
- Preferred:
- Bachelors degree in a related field (e.g., Legal Studies, Business Administration).
- Paralegal and/or Contract Management certification.
- Experience with federal contracts, including knowledge of federal contract principles, administrative requirements, and other regulations (e.g., FAR/DFARS).
Skills:
- General knowledge of legal terminology, contract law, contract structures, and corporate legal practices.
- Excellent written and verbal communication skills necessary for interacting with senior management personnel, internal and external legal counsel and 3rd parties.
- Excellent attention to detail and organizational skills.
- Ability to make sound decisions and recommendations with minimal or no supervision.
- Strong time management and organizational skills with the ability to manage multiple priorities and deadlines in a fast-paced environment.
- Technical proficiency in Microsoft Office and contract management software.
- May be required to obtain and maintain a DoD Personnel Security Clearance.
