Job DescriptionCorporate Attorney About:
We are a full-service business law firm and one of Pittsburgh's fastest-growing law firms. We provide sophisticated legal counsel to individuals, family-owned businesses, multinational corporations, and public entities across Pennsylvania and beyond. Our attorneys serve as trusted advisors in business transactions, corporate matters, and strategic decision-making.
We are currently seeking a Corporate Associate Attorney with at least 2 years of experience, ideally with a background in M&A and general corporate counsel work.
Key Responsibilities:
- Draft, review, and negotiate a wide range of corporate and transactional documents, including purchase agreements, operating agreements, shareholder agreements, and letters of intent
- Advise clients on mergers and acquisitions, business sales and acquisitions, joint ventures, and other complex corporate transactions
- Provide day-to-day general counsel support to business clients on corporate governance, compliance, contracts, and operational matters
- Conduct due diligence for M&A and other transactions
- Work closely with partners and clients to deliver practical, business-oriented legal solutions
- Assist with entity formations, reorganizations, and ongoing corporate maintenance
Qualifications:
- J.D. from an accredited law school and active membership in the Pennsylvania State Bar (or eligibility to waive in)
- Minimum of 2 years of relevant experience in corporate law, with strong preference for experience in M&A and general corporate counsel matters
- Solid drafting and negotiation skills
- Practical experience handling business transactions and advising clients on corporate governance and compliance issues
- Ability to manage multiple matters efficiently while delivering high-quality work
- Strong interpersonal skills and a client-service mindset
- Entrepreneurial attitude and interest in contributing to a growing, collaborative firm
