Direct Counsel represents a prestigious AmLaw firm seeking a Mid-Level Corporate Associate with private equity experience to join its Private Equity practice in Chicago, Washington, D.C., or New York. This opportunity is ideal for attorneys with strong experience handling sophisticated private equity and M&A transactions in a law firm environment.

The ideal candidate will have experience representing private equity funds, portfolio companies, family offices, and sponsors in mergers and acquisitions, leveraged buyouts, recapitalizations, growth financings, joint ventures, and other strategic transactions. This position offers significant client exposure, hands-on deal experience, mentorship, and long-term growth opportunities within a collaborative national practice.

Responsibilities:

  • Draft, review, and negotiate purchase agreements, operating agreements, financing documents, and other transaction-related documents
  • Manage private equity and M&A transactions from inception through closing
  • Conduct legal due diligence and assist with transaction structuring
  • Advise clients on corporate governance, transactional, and strategic business matters
  • Coordinate transaction closings and oversee deal process management
  • Conduct legal research and analysis related to corporate and transactional matters
  • Communicate effectively with clients, opposing counsel, and internal legal teams
  • Supervise and mentor junior associates and support staff as needed

Qualifications:

  • 3–5 years of private equity and corporate transactional experience at a law firm
  • Strong experience with mergers and acquisitions and private equity transactions
  • Excellent drafting, negotiation, analytical, and organizational skills
  • Ability to manage multiple transactions and deadlines in a fast-paced environment
  • Strong written and verbal communication skills
  • Excellent academic credentials
  • Licensed and in good standing in the applicable jurisdiction or eligible for admission through reciprocity

Compensation & Benefits:

  • Salary range: $310,000 – $390,000 annually
