Job DescriptionHealth Law Associate Attorney – Washington, DC or New York
Direct Counsel is seeking a Health Law Associate to join a leading Am Law 100 law firm with a nationally recognized healthcare practice. This is an excellent opportunity for a junior associate with commercial contracting and/or M&A experience to work with major players in the healthcare industry on complex transactions and regulatory matters.
About the Health Law Practice
The firm’s Health Law team guides clients through structural and operational challenges in the healthcare sector. Clients include providers, payors, manufacturers, distributors, and suppliers, ranging from non-profit organizations to publicly traded companies and private equity–backed entities. This practice also collaborates with attorneys in related disciplines to deliver comprehensive legal solutions.
Responsibilities

Support national and regional health plans in their contracting relationships with PBMs and other vendors

Assist with healthcare transactions, including M&A deals and industry investments

Draft and negotiate service agreements, PBM contracts, vendor arrangements, and M&A documents

Identify key legal and business issues in contracts, prepare summaries, and assist with lifecycle management

Conduct regulatory research on payor regulations and PBM practices

Summarize CMS and state agency guidance and assist with audits and regulatory responses

Participate in due diligence, document preparation, negotiation, and transaction management

Coordinate with clients, co-counsel, and opposing counsel to manage contract workflows
Qualifications

JD or LLM from an ABA-accredited law school

Admitted or eligible for admission in Washington, DC or New York

1–4 years of relevant transactional experience, preferably in healthcare

Knowledge of healthcare regulations, including the Anti-Kickback Statute, Stark Law, and state corporate practice of medicine restrictions, is preferred

Exceptional contract drafting and negotiation skills

Strong organizational, research, and communication abilities

Ability to manage multiple priorities and work effectively in a team
Work Arrangement
This position follows a hybrid model, with approximately 60% in-office presence in accordance with firm guidelines.
Compensation & Benefits

Salary range: $225,000 – $260,000
