Job Description

Job DescriptionDirect Counsel is seeking an Affordable Housing Transactional Associate with 3+ years of experience to join a nationally recognized Affordable Housing practice. This is an outstanding opportunity to work on sophisticated affordable housing and community development transactions that help create, preserve, and finance housing projects across the country.

The ideal candidate will have experience handling affordable housing finance and development matters, including Low-Income Housing Tax Credit (LIHTC) transactions, and will be excited to work with developers, investors, lenders, and governmental entities on impactful projects.

Responsibilities

  • Represent for-profit and nonprofit developers, investors, lenders, and public entities in affordable housing transactions
  • Structure, negotiate, and close affordable housing finance and development transactions
  • Draft, review, and negotiate debt and equity financing documents
  • Handle Low-Income Housing Tax Credit (LIHTC) transactions, including both 4% and 9% credit deals
  • Support refinancing, acquisitions, dispositions, and exit transactions
  • Conduct transactional due diligence and coordinate closings
  • Advise clients on affordable housing incentives, financing structures, and development-related matters
  • Collaborate with multidisciplinary teams on complex community development projects

Qualifications

  • 3+ years of affordable housing transactional experience
  • Significant experience with affordable housing finance, development, and incentives
  • Experience handling:
    • LIHTC transactions (4% and 9%)
    • Acquisitions and dispositions
    • Refinancing transactions
    • Exit transactions
    • Debt and equity financings
  • Strong drafting, negotiation, and transactional skills
  • Outstanding academic credentials from an accredited law school
  • Excellent written, verbal, analytical, and interpersonal skills
  • Ability to thrive in a fast-paced, deadline-driven environment

Compensation & Benefits

  • Salary range (Chicago and Washington, D.C.): $245,000 – $385,000
