Job DescriptionStructured Finance Counsel

Direct Counsel is seeking a Structured Finance Counsel to join a highly regarded Am Law 100 firm in New York, New York or Washington, D.C.

This is an exceptional opportunity for an attorney with 7+ years of experience in structured finance and complex financing transactions to join a nationally recognized Structured Finance & Warehouse practice. The role offers the opportunity to advise clients across a diverse range of asset classes while leading sophisticated financing transactions and working alongside one of the industry's premier finance teams.

Key Responsibilities

  • Lead and manage complex structured finance and warehouse lending transactions from initial structuring through closing.

  • Advise clients on structured finance transactions, warehouse facilities, secured lending arrangements, and other sophisticated financing matters.

  • Draft, review, and negotiate complex financing documentation and transaction agreements.

  • Manage multiple transactions simultaneously while serving as the lead or supporting attorney on client matters.

  • Advise clients across a broad range of asset classes and financing structures.

  • Collaborate with multidisciplinary teams to develop innovative financing solutions tailored to clients' business objectives.

  • Mentor junior attorneys and contribute to the continued growth of the practice.

Qualifications

  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.

  • 7+ years of experience in structured finance and other complex financing transactions.

  • Significant experience in structured finance is required.

  • Experience with securitization transactions is a plus.

  • Demonstrated ability to independently manage sophisticated transactions while also working effectively as part of a collaborative team.

  • Excellent drafting, negotiation, analytical, and client management skills.

  • Outstanding written, verbal, and interpersonal communication abilities.

Compensation & Benefits

  • Base salary: $365,000–$425,000 (New York salary range; compensation may vary based on experience, qualifications, and office location).
