Direct Counsel is seeking a Project Finance Associate to join a top-tier international law firm with a nationally recognized Projects & Infrastructure practice.
This is a compelling opportunity to join a market-leading practice advising clients on complex and high-value infrastructure and energy transactions. The firm is particularly active in the renewable energy and power sectors, handling all aspects of development and finance for wind, solar, battery storage, and other clean energy projects.
About the Role:
The firm’s nationally integrated Projects & Infrastructure team is looking for two associates to support its growing pipeline of domestic and international work. The group represents lenders, sponsors, developers, and investors in a wide range of project finance matters, including greenfield development, acquisitions, and restructuring of energy and infrastructure assets.
Key Responsibilities:

Negotiate and draft key project finance documents, including credit agreements, intercreditor agreements, and project-related contracts (e.g., power purchase agreements, EPC and O&M agreements)

Manage complex project finance transactions from term sheet through financial close

Conduct due diligence, coordinate with subject matter experts (e.g., tax, regulatory, environmental)

Support clients through all stages of energy and infrastructure projects, with particular emphasis on renewables and power

Collaborate across offices with attorneys and stakeholders in different time zones
Candidate Qualifications:

2 to 6 years of experience in project finance at a sophisticated law firm

Experience with renewable energy and power sector transactions strongly preferred

Strong academic background from a respected law school

Excellent drafting, negotiation, and communication skills

Detail-oriented with strong organizational skills and ability to manage multiple workstreams

Must be admitted to the bar in the jurisdiction of residence or eligible to waive in
Compensation & Benefits:

Salary Range: $235,000 to $390,000, based on experience and location
