The In-House Attorney serves as a member of the corporate legal department, providing legal support to internal stakeholders across a variety of functions, including contract negotiation, corporate governance, regulatory and environmental compliance, and international coordination. This position requires consistent communication with Formosa Plastics Group Taiwan, including translation of legal documents and preparation of bilingual legal reports. The attorney will work closely with business leaders, EH&S, HR and operations staff to provide proactive legal advice that minimizes risk and supports strategic goals.
Job Description
Contract Review, Negotiation, and Management
- Provide legal support in the drafting, negotiation, and interpretation of commercial contracts, including vendor agreements, service agreements, NDAs, and memoranda of understanding. Ensure contract terms protect the company’s legal and commercial interests and align with regulatory requirements.
Corporate Governance and Entity Management
- Assist with corporate compliance, including maintaining corporate records, preparing board resolutions, and supporting inter-company transactions. Ensure legal entities remain in good standing in the jurisdictions where they operate.
Regulatory and Environmental Compliance
- Partner with EH&S and operations teams to support compliance with U.S. and international environmental regulations (e.g., EPA, OSHA, TSCA, CAA, CWA, RCRA, REACH). Monitor regulatory changes and provide counsel on required operational adjustments. Review documentation for environmental permitting, reporting, audits, and inspections.
Cross-Border Coordination and Reporting with Taiwan
- Facilitate ongoing legal communication with affiliated companies in Taiwan. Draft, translate, and interpret legal documents in Mandarin and English. Prepare and deliver regular legal reports to the parent organization and participate in cross-functional meetings involving international stakeholders.
Litigation and External Counsel Support
- Support the management of disputes and litigation. Assist in internal fact finding, document preservation, and coordination with outside counsel. Participate in case strategy discussions and ensure timely internal communication.
Internal Policy Development and Compliance Initiatives
- Assist in developing and reviewing internal legal and operational policies. Provide guidance on policy alignment with evolving regulatory requirements. Support policy implementation efforts including communications, training, and documentation.
Legal Risk Assessment and Strategic Advice
- Analyze legal risks related to business decisions, projects, or new initiatives. Work with internal stakeholders to evaluate compliance exposure and recommend legally sound business solutions.
Translation and Interpretation of Legal Materials
- Translate legal and regulatory materials between Mandarin and English. Provide culturally and legally accurate interpretations of foreign documents, contracts, and correspondence
QUALIFICATIONs REQUIRED: MINIMUM COMPETENCIES, SKILLS, EXPERIENCE, AND/OR PRIOR TRAINING
- 3–7 years of legal experience in a law firm or in-house legal department. Prior experience supporting manufacturing, petrochemical, or industrial operations is strongly preferred. Cross-border legal experience and familiarity with East Asian regulatory practices are a plus.
- Demonstrated proficiency in basic mathematics, as well as strong verbal and written communication skills, including advanced English reading comprehension, grammar, and punctuation. Must be capable of producing clear, well-organized, and detailed narrative reports on complex subject matter.
- Intermediate – Advanced level proficiency in all Microsoft Office software functions (including Word, Excel, PowerPoint).
- Comfort and strong aptitude for learning and utilizing new legal technology.
- Ability to multi-task and to meet tight deadlines while (occasionally) working under very intense pressure
- Comprehensive professional knowledge of U.S. employment law, including all relevant state and federal statutes, regulations, and compliance requirements.
- Clear and practical communication with non-legal audiences.
- Proven collaboration across legal, HR, operations, and external counsel teams.
- Advanced legal degree required. LLM or equivalent degree in law from an accredited institution accepted in lieu of a U.S. Juris Doctor.
- Bar admission in the U.S. is preferred but not required.
- Proficiency in written and spoken Mandarin is required for this role due to the nature of the position, which involves regular interaction with Mandarin-speaking business units, review of legal documents in Mandarin, and coordination with global stakeholders based in Taiwan and China.
