We're partnered with an AmLaw firm on a search for an experienced Corporate Associate in their Washington, DC and New York City offices. Our client is an established leader in the legal industry, consistently ranking among the most prestigious workplaces for legal professionals with exceptional professional development opportunities.
This position is an opportunity to work on sophisticated corporate finance matters in a high stakes, fast-paced environment. We are seeking associates from class years 2018-2022 with experience in debt and equity offerings, leveraged finance, or private credit transactions. Additional responsibilities include:
- Structure and execute public and private debt and equity offerings
- Draft and negotiate credit agreements, indentures, and security documents
- Advise on leveraged acquisition financings and refinancings
- Handle private credit and direct lending transactions
- Coordinate due diligence and manage closing processes
- Draft offering memoranda, prospectuses, and disclosure documents
- Navigate SEC regulations and compliance requirements

Job Details
All interested candidates must have 3+ years of corporate finance experience, preferably in an AmLaw or large firm setting and be admitted to practice in New York or DC.
