Job DescriptionCapital Markets Associate Attorney
Direct Counsel is seeking a Capital Markets Associate Attorney to join a prestigious Am Law firm in Boston, MA; New York, NY; Philadelphia, PA; or Washington, DC.
This is an exceptional opportunity for an attorney with 3-8 years of capital markets experience to join a nationally recognized Corporate Finance & Capital Markets practice. The team represents issuers, underwriters, placement agents, private equity sponsors, private credit funds, and other market participants in sophisticated domestic and cross-border securities offerings and capital raising transactions.
Responsibilities

Represent issuers, underwriters, and placement agents in public offerings, private placements, and other securities transactions.

Advise clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, including ongoing reporting obligations.

Assist with domestic and cross-border capital markets transactions from due diligence through closing.

Draft, review, and negotiate offering documents, transaction agreements, disclosure materials, and related corporate documents.

Advise clients on corporate finance, securities law compliance, and capital raising strategies.

Represent Business Development Companies (BDCs), investment funds, and other registered investment vehicles, as applicable.

Manage key aspects of sophisticated transactions while collaborating with multidisciplinary legal teams.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in a U.S. state bar.

3-8 years of capital markets experience.

Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.

Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.

Experience representing Business Development Companies (BDCs), 1940 Act funds, or ETFs is a plus.

Experience managing significant components of transactions from due diligence through closing.

Large law firm experience is preferred.

Excellent drafting, analytical, negotiation, and communication skills.
