Job DescriptionCapital Markets Associate Attorney
Direct Counsel is seeking a Capital Markets Associate Attorney to join a prestigious Am Law firm in Washington, D.C.
This is an exceptional opportunity for an attorney with 2-3 years of corporate and securities experience to join a nationally recognized Capital Markets and Securities practice. The team serves as regular outside counsel to public companies ranging from newly public issuers to Fortune 500 companies, advising on sophisticated securities law, corporate governance, and capital markets matters.
Responsibilities

Advise public companies on ongoing securities law compliance and corporate governance matters.

Represent issuers in capital markets transactions, including equity and debt offerings.

Draft and review SEC filings, disclosure documents, proxy statements, and periodic reports.

Counsel boards of directors and executive management on governance, disclosure, and regulatory matters.

Assist clients with compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934.

Support public company clients in day-to-day corporate and securities matters.

Collaborate with multidisciplinary legal teams on sophisticated capital markets transactions and strategic corporate initiatives.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in a U.S. state bar.

2-3 years of corporate and securities law experience at a comparable law firm.

Experience advising public companies on securities law compliance, corporate governance, and capital markets transactions.

Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.

Experience preparing SEC filings and advising public company clients.

Excellent analytical, drafting, research, and communication skills.

Compensation & Benefits

Salary: $235,000-$260,000, commensurate with experience and qualifications.
