Job DescriptionDirect Counsel is partnering with an AmLaw 10 law firm to identify a highly qualified Corporate M&A / Private Equity Associate to join its Bay Area office.
This is an exceptional opportunity for an attorney seeking to work on high-profile mergers and acquisitions and private equity transactions within one of the most elite corporate practices in the country. The team advises leading private equity sponsors, portfolio companies, and major corporations on sophisticated and complex transactions across a wide range of industries.
Key Responsibilities

Advise clients on mergers and acquisitions and private equity transactions

Assist with deal structuring, due diligence, and transaction execution

Draft and negotiate transactional agreements and related documentation

Work closely with deal teams on complex corporate transactions

Collaborate with clients and colleagues in a fast-paced, team-oriented environment
Qualifications

Strong experience in corporate transactions, particularly M&A and/or private equity

Excellent analytical, drafting, and negotiation skills

Outstanding academic credentials

Ability to manage complex transactions in a high-performing legal environment

Compensation
The anticipated salary range is $225,000 – $420,000, depending on experience, qualifications, and internal compensation structures. The firm also offers a robust benefits package for attorneys and employees.
