Direct Counsel is seeking a Leveraged Finance Associate Attorney to join the nationally recognized Global Finance practice of a premier Am Law firm. This is an outstanding opportunity to work on sophisticated domestic and cross-border financing transactions representing borrowers, lenders, private equity sponsors, issuers, financial advisors, agents, and equity investors across every level of the capital structure.
The ideal candidate will have 3–6 years of leveraged finance experience with a strong background handling acquisition financings, recapitalizations, restructurings, and other complex financing transactions.
Responsibilities

Represent borrowers, lenders, private equity sponsors, issuers, financial advisors, agents, and equity investors in leveraged finance transactions.

Structure, negotiate, and document a broad range of financing transactions, including domestic and cross-border acquisition financings, dividend recapitalizations, restructurings, and reorganizations.

Draft and negotiate credit agreements, security documents, intercreditor agreements, and other financing documentation.

Serve as a key member of transaction teams, managing significant aspects of transactions from due diligence through closing.

Advise clients on financing structures, evolving market terms, and strategic transaction considerations.

Collaborate with attorneys across the Global Finance practice to deliver practical, business-focused legal solutions for sophisticated financing matters.
Qualifications

J.D. from an accredited law school with strong academic credentials.

3–6 years of experience in leveraged finance or related finance transactions at a law firm.

Significant experience representing borrowers, lenders, private equity sponsors, and/or agents in complex financing transactions.

Experience with domestic and cross-border acquisition financings, recapitalizations, restructurings, and reorganizations.

Exposure to middle-market lending and representing alternative lenders, including business development companies (BDCs), hedge funds, and other non-bank lenders, is preferred.

Demonstrated ability to manage key aspects of sophisticated transactions from due diligence through closing.

Excellent drafting, negotiation, analytical, and communication skills.

Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.

Salary: Starting at $260,000, with compensation commensurate with class year and experience.
