Associate: Milbank LLP is seeking Associate in New York, NY. Pos req JD, LLM or foreign equiv + 1 yr exp in offered pos or related occuptn. 1 yr exp must incl: Draft ISDA Master Agreemnt Schedules for loan-linked & corporate foreign exchange & interest rate hedging transctns; Review hedge provisions in financ docs, incl term sheets, financ agreemnts, security docs, depositary agreemnts, intercreditor agreemnts & guaranties; Draft Master Repurchase agreemnts & related repurchase docs; Review rulebooks of domestic payment systems, swap execution facilities & Central Clearing Counterparties (CCPs); Prepare corp docs, incl LLC agreemnts, resolutions & officer's certificates.
