Associate: Milbank LLP is seeking Associate in New York, NY. Pos req JD, Master of Laws or foreign equiv + 3 yrs exp in offered pos or related occuptn. 1 yr exp must incl: Advisng on finance transactions, incl construction, bridge, & mid-term & long-term debt financings; Prep financing docs, incl term sheets, credit agreemnts, note purchase agreemnts, security docs, equity contribution agreemnts, direct agreemnts, depositary agreemnts, intercreditor agreemnts & commitment papers; Prep corp docs, incl LLC agreemnts, resolutions, & officer certificates; Conduct due diligence & bankability reviews for power purchase, engineering, procurement, construction, operation, maintenance & equipment supply agreemnts; Prep legal opinions in connection w/ financings, private placements & security interests.
