As a Corporate Counsel, you will provide solutions-based counseling to multiple internal clients on a wide variety of complex legal and business issues. 
RESPONSIBILITIES: 
<ul>
<li>Own securities law compliance, corporate governance matters, and board support </li>
<li>Modernize board processes, committee charters, and governance policies </li>
<li>Architect and implement compliance framework for securities laws and regulations (1933 Act, 1934 Act, Reg. D Offerings, Rule 701, insider trading and Blue Sky Compliance) </li>
<li>Collaborate with the Finance and Accounting teams regarding matters related to internal controls and audit compliance </li>
<li>Manage securities offerings, stock financings, resales of restricted securities, and related stockholder relations matters </li>
<li>Advise on equity compensation matters, including the administration of multiple equity incentive plans with stock options, RSUs, and restricted stock awards </li>
<li>Negotiate corporate transactions in close cooperation with the company’s in-house finance team </li>
<li>Draft, negotiate, and review a broad range of commercial agreements </li>
</ul>
BASIC QUALIFICATIONS: 
<ul>
<li>JD from an ABA-accredited law school </li>
<li>5+ years of corporate law experience </li>
</ul>
PREFERRED SKILLS AND EXPERIENCE: 
<ul>
<li>In-house counsel experience </li>
<li>Ability to register as in-house counsel in California </li>
<li>Experience working for a top-tier law firm </li>
<li>Experience representing mature private and public companies </li>
<li>Experience with securities law compliance </li>
<li>Experience with complex corporate structures and transactions </li>
<li>Ability to adapt and be responsive to rapid developments and changes in direction as well as work with technologies, products, and on novel legal issues </li>
</ul>
ADDITIONAL REQUIREMENTS: 
<ul>
<li>Must be admitted to the bar, in good standing, in at least one U.S. State </li>
<li>This position is based in Hawthorne, CA and requires being onsite - remote work not considered </li>
<li>Must be able to work extended hours and weekends as needed </li>
</ul>
COMPENSATION AND BENEFITS:
Pay range:
Counsel: $190,000.00 - $245,000.00/per year
Your actual level and base salary will be determined on a case-by-case basis and may vary based on the following considerations: job-related knowledge and skills, education, and experience. Base salary is just one part of your total rewards package at SpaceX. You may also be eligible for long-term incentives, in the form of company stock, stock options, or long-term cash awards, as well as potential discretionary bonuses and the ability to purchase additional stock at a discount through an Employee Stock Purchase Plan.
