About the Job
The Corporate Governance Coordinator plays a central role in supporting Pursuit’s Board of Directors, Board Committees and overall entity governance framework. This position is responsible for coordinating specified Board and Committee operations, maintaining governance records, managing entity compliance filings, and ensuring that approvals, documentation, and reporting are completed accurately and on time.
The role serves as the primary Board-facing operational contact and works closely with executive leadership and internal teams to ensure Board and Committee materials, approvals, and related logistics are well-coordinated, professional, and aligned with governance requirements. This position also provides limited executive operational support related to scheduling, follow-through coordination, and executive administration.
This position blends governance oversight, executive and cross-functional coordination, and process discipline, ensuring the consistency and effectiveness of executive operations, corporate governance and Board processes. The role is expected to evolve over time as Pursuit continues to mature its governance, committee administration, and organizational support functions.
Key Responsibilities
Board & Board Committee Governance
- Coordinate onboarding for new Board and Committee members, including collection of required documentation, regulatory clearance, execution of onboarding materials, and communication of roles, expectations, and governance processes.
- Manage Board and Committee approval cycles to ensure resolutions, consents and required actions are completed accurately and on schedule.
- Maintain official Board and Committee records, minutes, and governance documentation in accordance with internal standards and regulatory expectations.
- Serve as the primary coordinator for Board of Directors and specified Committee meetings, including calendars, meeting notices, agendas, materials, minutes, and action tracking.
- Coordinate Board and select Committee meeting logistics, in partnership with the Office Administrator where applicable, including venues, catering, travel and accommodations to support professional, well-organized experience.
- Support preparation and distribution of Board materials in coordination with executive leadership and functional owners.
- Coordinate Board meeting technology readiness, including preparation and distribution of digital materials, use of Board portals or secure file-sharing platforms and day-of meeting support to ensure materials are accessible and presentations run smoothly.
- Serve as the primary point of contact for Board members regarding access to meeting materials and basic technical navigation, escalating systems or platform issues to IT or Corporate Operations as needed.
- Coordinate with Accounting on Board members' expense submissions and reimbursements related to meetings and approved activities, ensuring proper documentation, timely processing, and alignment with internal policies.
- Track and follow-up on Board and Committee action items, ensuring timely completion, clear ownership, and proper documentation of outcomes.
- Support additional governance, committee administration, and approval-related processes as assigned, including coordination of materials, records, communications, and documentation.
Board Programs & Charitable Giving
- Administer Pursuit Charitable Foundation’s Board-directed giving and matching grant programs, serving as the primary coordinator for Director requests, approvals, documentation and reporting.
- Ensure program activities are executed in accordance with guidelines, internal controls, and governance standards.
- Coordinate with leadership and Accounting to ensure accurate tracking, documentation, and reporting of Board-directed charitable contributions.
- Serve as a point of contact for Directors regarding program guidelines.
- Support administrative coordination of Ripple Effect Committee initiatives as needed; including tracking contributions, maintaining documentation, coordinating reporting, and ensuring related records and communications are organized and current.
Entity Governance & Records Management
- Oversee entity-level compliance filings, including annual reports, registrations and other statutory requirements across Pursuit’s entities.
- Maintain a centralized governance calendar tracking recurring filings, approvals, and governance obligations.
- Coordinate with external legal counsel, regulators and internal stakeholders on governance-related matters as needed.
- Maintain and organize corporate governance records, charters, bylaws, policies and key agreements and support tracking of Board approvals and periodic reviews.
- Assist in standardizing governance documentation and processes to improve consistency, transparency, and audit readiness.
- Support governance documentation for audits, examinations, and regulatory reviews.
Targeted Executive Support
- Provide executive support to the CEO, including calendar coordination, meeting scheduling, expense reporting, prioritization support, and follow-up on high priority initiatives.
- Help maintain visibility in key action items, deadlines, and decisions to support effective follow-through and operational coordination.
- Assist with preparation and organization of executive and board related materials, presentations, meeting documentation, and supporting communications.
- Support coordination of executive travel and logistics as needed, particularly in connection with Board meetings, conferences, and strategic engagements.
Internal Collaboration
- Work closely with executive leadership, legal counsel, and internal teams to support governance, approval requirements and Board related decision making.
- Coordinate across departments to ensure timely submission of materials, accurate documentation, and consistent follow-through on Board and Committee actions.
- Serve as a governance resource to internal teams on Board processes, approvals and documentation standards.
What You’ll Bring
- Bachelor’s degree in business, finance, legal studies, public administration or related field (or equivalent experience).
- At least five years' experience in executive level administration, board administration, corporate governance, legal operations, compliance, or a related role.
- Experience supporting Boards or regulated entities is strongly preferred; paralegal or legal background is a plus.
- Ability to occasionally travel to New York City and work outside of normal business hours and may include overnight accommodations.
- Strong verbal and written communication skills with the ability to communicate clearly, professionally, and politely with Board members, executive leadership team, senior management, and internal staff.
- Excellent organizational and documentation skills with high attention to detail.
- Ability to manage multiple deadlines, confidential information and competing priorities with professionalism and discretion.
- Ability to exercise good judgment, work independently, and in a team environment.
- Proficiency in Microsoft Office Suite and document-sharing platforms; experience with Board portals is a plus.

The estimated salary range for this position is: $90,000 - $105,000
The salary range may be inclusive of several levels that would be applicable to the position. Final salary will be based on a number of factors, including level, relevant prior experience, skills and expertise. This range is only inclusive of base salary, not benefits.
