SCOPE OF WORK
Broadcom will provide up to350 hours of consulting and project management services for this engagement.The primary consultant works either 20 or 40 hours as agreed on before orduring the kick-off meeting. Any change in working hours requires a two-weeklead time and is subject to the Terms and Conditions in the contract. Thecustomer is responsible for coordinating with Broadcom\'s delivery resourcesduring this period.
The Customer and Broadcomrecognize the following backlog of scope items that Broadcom will assist withduring this project. The Customer may prioritize these items as they deem fit.However, Broadcom does not guarantee that all the identified backlog item willbe addressed within the estimated level of effort.

Scope
The customer will receive aSubject Matter Expert in the following Application Networking and Securitytheir endeavor concerning the following scope or product area: vDefend Firewall(DFW): -Assist deployment of the platform to support NSXi-Assist DFW policyCreation-Assist DFW Rule Migrations-Assist in defining the operatingmodel-Assist in defining standardization goals-Assist in defining/scalingpolicy structure-Assist in defining/scaling policy operations-Assist inbuilding Common Services Policy (Macro)-Assist in building InfrastructurePolicy (Meso)-Assist in building Application Policy (Micro)-Assist withIdentity Firewall-Assist with Logging and Monitoring-Assist with OperationalMetrics-Assist with Capacity management-Assist with Visibility

Project Management
Project Initiation:
Mobilize and assignnoncustomer project resources Conduct a kick-off conference call with keystakeholders and the Project Team Project Planning and Execution: ScopeManagement Identify and manage any high-level project activities/deliverablesSchedule Management: Create, maintain and manage a high-level project scheduleThe primary consultant works either 20 or 40 hours as agreed on before orduring the kick-off meeting. FinancialManagement: Report actual time and expenses for project resources, and reviewinvoices for accuracy Resource Management: Identify and manage any changesneeded on resources assigned to the project Change Management: Identify andcoordinate project change requests (scope, resource, contract, etc) QualityManagement: Identify, manage and document requirements for user testing,operational readiness or process changes
Communication Management:Regular checkpoint meetings with customer and Project Status Reports
Project Close: Closure ofpending invoicing, expense items, Project closure meeting and Closure Report
Customer Responsibilities:
1. Customer agrees to fulfill the following responsibilitiesprior to the start of the engagement or during the engagement: a. Prior to thestart of the engagement, Customer will provide Broadcom details of the issuesor activities to be addressed, the engagement objectives (preferably in anAgile backlog format) and such other information relevant to creating theproject plan or may impact the Services. b. Customer is solely responsible forthe results and or outcome of this engagement. Broadcom makes no representationor warranty that the Services provided will provide any specific deliverable orresults. c. The management, performance and completion of the Servicesincluding overall project management, resource identification, schedulingrequests, task identification and assignment, project results and completion,are the responsibility of the Customer. d. Customer will designate a projectmanager prior to Broadcom commencing the Services, as the single point ofcontact to coordinate with the Broadcom project lead for project administrativeissues regarding, for example, finances, working times and locations, meetings,time tracking, and travel. 2. During the engagement Customer will meet thefollowing requirements: a. Provide remote access and credentials to the properenvironments, hardware, underlying operating systems, supporting databases,applications, and to relevant business and technical documentation and subjectmatter experts, as required. If remote access is not feasible or desired,onsite services will be required and Customer may incur expenses. b. Provideknowledge of relevant regulations and the control environment that the Softwarewill operate in, including software development lifecycle, administrative,security, and audit controls. c. Not schedule any major upgrades or significantplanned outages concurrent with this Project. d. Not make any changes to thecurrent environment between scoping and start of Project. This includes anychanges made to any environments related to this Project. e. Customer isresponsible for consequences resulting from the content, completeness, accuracyand consistency of any data, materials, and information supplied by Customer.
Broadcom Responsibilities
1. Broadcom may select,assign, and reassign the Broadcom resources as it deems appropriate.
2. Broadcom can utilizeemployees or sub-contractors who have entered into appropriate confidentialityprovisions to support the delivery of the Services.
3. Broadcom may apply a ChangeRequest, where as a consequence of the actions of Customer, there are delayswhich impact resource productivity, rescheduling of meetings or the pausing ofa project. If Broadcom resources are released, then there will be a delayresourcing those roles and the onboarding time will be billable.
Out of Scope
The following tasks are out ofscope:
1. Implementation,installation, loading or configuration of any Broadcom software solutions notnamed in the Transaction Document or on a non-supported platform, or anythird-party product; including the installation of third-party productinterfaces, exit coding or developing interfaces from Customer systems andapplications.
2. Troubleshoot issues of anynon- Broadcom software solution.
3. Development of anycustomization or development activity that impacts any of the full features andbenefits and underlying source code of the Broadcom software, including objectcode that extends the install package of the product, or of system agents,equipment or operating software.
4. Modification or translationof product languages, or the addition of any language that is not currentlyavailable within the Broadcom product(s).
5. Modification of any Add-OnServices Component or Accelerator or reports, on-line screens, ordocumentation.
6. Remediation work associatedwith any problems resulting from the content, completeness, accuracy, andconsistency of any data, materials, or information supplied by Customer.
7. Unless expressly specifiedin the accompanying Transaction Document:
a. Configuration and/orimplementation of workflows and business processes
b. Integration with otherBroadcom or third-party software products
c. Assistance with scripts
d. Implementation of failover,high availability, and/or disaster recovery
e. Creation of \'how todocumentation
f. Data migrations, cleansing,conversions, or reconciliations.
g. Custom reports.
