Locations: Chicago, Illinois, New York, Washington, D.C.

Direct Counsel is representing a premier global law firm seeking a mid-level Associate Attorney to join its highly regarded Investment Management Group in Chicago, with flexibility for candidates based in New York. This is an outstanding opportunity to work on sophisticated registered fund and business development company matters within a nationally recognized investment management practice.

The ideal candidate will have experience advising on 1940 Act registered funds and business development company matters at a leading law firm.

Key Responsibilities

  • Advise clients on the structuring, offering, operation, financing, and regulation of registered investment companies
  • Work on matters involving closed-end funds, mutual funds, ETFs, and business development companies
  • Counsel boards of directors on corporate governance and regulatory matters
  • Assist with innovative fund structures, leveraging strategies, rights offerings, and related transactions
  • Collaborate with M&A teams on 1940 Act issues arising in asset manager transactions
  • Draft and review offering materials, fund documentation, and regulatory filings

Qualifications

  • Approximately 3–5 years of investment management experience at a major law firm
  • Strong experience with 1940 Act registered funds and business development companies required
  • Experience within the investment management practice group of a peer firm strongly preferred
  • Excellent analytical, drafting, and communication skills
  • Strong academic credentials
  • Ability to manage sophisticated matters in a collaborative environment
  • Admission to the Illinois Bar or eligibility to waive in

Compensation

  • Expected salary range: $310,000 – $390,000
  • Eligibility for discretionary bonus and comprehensive benefits package
